The SEBI’s(Security and Exchange Board of India) decision to restrain Hotel Leeladventure from selling its hotel properties to Brookefield asset management pending further investigation is a very rare move. It is unprecedented considering the fact that the deal was approved the company’s board and vetoed on by its shareholders.However the decision is timely and correct as the concerns flagged by the minority shareholders merit scrutiny.
Saddled with High Debt and Insufficient cash flows, the organisation has been struggling financially since 2012, and has been defaulter since the lenders have assigned their debt to JM Financial asset restructuring Company.The proposed asset monetisation deal with Brookefield envisages the sale of prime hotel properties in Udaipur, Delhi,Agra,Bengaluru, Chennai for 3950 crores.This will help the Organisation massively in clearing their debt and also will be provide great relief to Lenders.However, this transaction has three red signals for Minority Equity Shareholders.1.After the sale of Key revenue generating assets , it will become a shell company with very little residual value for equity shareholders.2. Two, in absence of detailed Valuation statements for this “slump Sale”, there is no way equity shareholders can ascertain whether the company has negotiated fair price for the sale of its key assets.3. Thirdly, While public shareholders are going to get nothing out of this deal, the promoter entities are going to pocket rs 300 crore each through parallel transactions with Brookefield for Intellectual rights and business expansion services.The Companies act prohibits Organisation from selling substantial part of their business without seeking approval from 75% of their equity shareholders through a special resolution.Its true that the organisation carried out a vote through postal ballot, but the minority equity shareholders will not have a say in it, as the promoters and JM ARC together constitute 73.3 percent of the the equity shares, are likely to be all for it.There is a clear conflict of Intrest with JM ARC role as public shareholder and as a Lender benefiting from this deal.That is why Institutional Investors like ITC,LIC are justified in lodging complaint with NCLT,SEBI , calling for deals scrutiny as a related party transaction.
In fact, the minority shareholders are not going to gain anything from this verdict, as the net worth of Hotel Leela is 48 crore which is simply insufficient to service a debt of over 3700 crore.But the regulatory ruling in this case will help settle down important points of governance on companies disposing off their cash cows and voting rules in related party transactions.It is good to see domestic institutions voicing their opinion on postal ballot instead of a muted rubber stamping of company’s decisions which is usually the case.
